GENERAL TERMS AND CONDITIONS (GTC) - VALID THROUGHOUT THE EU
Scope of application
These General Terms and Conditions (GTC) apply to all business relationships between Fuchs Fabio, Rieckmann Ben Dierk GbR, Beethovenstraße 6, 63768 Hösbach, Germany (hereinafter referred to as "Seller") and its B2B customers within the European Union.
Deviating or conflicting terms and conditions of the Buyer shall not be recognised unless the Seller expressly agrees to them in writing.
Subject matter of the contract
The seller delivers the X-Crate outdoor game box, consisting of an aluminium box with QR code game instructions and physical game materials.
The use of digital content is only permitted in connection with the X-Crate.
Spare parts or accessories can only be reordered by purchasers of an X-Crate. The seller does not guarantee the permanent availability of spare parts.
Prices & terms of payment
All prices are net prices plus the applicable value added tax.
Payment shall be made by bank transfer or another payment method offered within 14 days of receipt of the invoice.
For buyers outside Germany within the EU, the reverse charge procedure applies. The invoice is issued net, the buyer is responsible for the correct taxation in his country.
Delivery & transfer of risk
Deliveries are made within Germany and to other EU countries.
The delivery time is usually 3 working days after receipt of payment, unless otherwise stated in the order confirmation.
The delivery times stated in the order confirmation apply to pre-orders.
The transfer of risk takes place upon handover to the shipping service provider in accordance with § 447 BGB. Transport insurance can be taken out on request.
Warranty & Liability
The statutory warranty period is 24 months from delivery, unless stricter statutory regulations apply in the buyer's country.
The seller is not liable for damage caused by improper use or force majeure.
Any liability for indirect damages, in particular lost profits or loss of use, is excluded.
Online access & rights of use
With the purchase of the X-Crate, the buyer receives access to the digital game site for two years.
If no written cancellation is sent by e-mail to info@x-crate.com at least three months before expiry, access is automatically extended for a further year.
The current prices for an extension are available on the website or on request.
All digital content remains the property of the seller and may not be copied, saved or passed on.
Intellectual property & property rights: The digital content and games of X-Crate are protected by copyright. Any form of imitation, duplication or unauthorised distribution is prohibited.
Right of cancellation & return (B2B regulation)
There is no right of cancellation in accordance with § 312g BGB, as this is a B2B transaction.
Returns are only possible in the case of proven defects or by individual agreement.
Dispute resolution & place of jurisdiction
German law shall apply. If mandatory statutory regulations apply in the buyer's country, these may apply in addition.
The place of jurisdiction for buyers based in Germany is Aschaffenburg.
For international disputes, the European online dispute resolution platform can be used (https://ec.europa.eu/consumers/odr).
Changes to the GTC
The buyer will be notified of changes to the GTC in good time. If the buyer does not object within 14 days of receipt, the new GTC shall be deemed accepted.
Statutory provisions remain unaffected.
Force majeure
The Seller shall not be liable for delays or non-fulfilment of obligations due to unforeseeable events such as natural disasters, pandemics, strikes or government measures.
In such a case, the fulfilment period for the affected obligations shall be extended accordingly.
Final provisions
Should a clause of these GTC be invalid, the remainder of the contract shall remain valid.
The invalid clause shall be replaced by a legally permissible provision that comes closest to the economic purpose.
